The following terms and conditions apply to use of the SFPI Online service. Please review them closely. This service is provided to individuals who are active plan members. BY CLICKING THE "ACCEPT" BUTTON AND COMPLETING THE REGISTRATION PROCESS, YOU ARE STATING THAT YOU ARE ELIGIBLE FOR AN ACCOUNT AND THAT YOU AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS. YOU AGREE THAT LOGGING INTO THE SERVICE AT ANY TIME ALSO CONSTITUTES ACCEPTANCE OF THIS AGREEMENT.

The SFPI Online service is offered to you conditionally on your acceptance without modification of the notifications, terms, and conditions listed herein.

PRIVACY
Self Funded Plans, Inc. respects the privacy of its clients and their membership. Self Funded Plans, Inc. will not alter, disclose, or monitor any personal data regarding members or the member's usage of Self Funded Plans, Inc. services without the member's prior permission unless Self Funded Plans, Inc. has reason to believe, under good faith, that the action is necessary to:
· Conform and/or comply to legal requirements and/or legal processes
· Protect the interest of clients and their membership
· Enforce the terms and conditions of the SFPI Online service
· Protect and/or defend the rights and property of Self Funded Plans, Inc.

CONDUCT
Each user warrants to Self Funded Plans, Inc. that they will not use the SFPI Online service for any purpose that is unlawful or prohibited by the terms and conditions herein.

Each user agrees to abide by all applicable local, state, national, and international laws and regulations and are solely responsible for all acts or omissions that occur under their username, including the content of your transmissions through the SFPI Online service.

USER ID
To gain access to member data, each user must complete the registration process by providing current, complete and accurate information as requested by the registration process. Each user will then choose a username and password that is used whenever you wish to access the site. Each user is entirely responsible for maintaining the confidentiality of your username and password. Furthermore each user is responsible for any and all activity that occurs under their username.

Each user agrees to notify Self Funded Plans, Inc. immediately of any unauthorized use of their username or any other breach of security.

LINKS TO OTHER SITES
Some links contained within the SFPI Online service will allow users to leave the SFPI Online web site. The linked sites are not under the control of Self Funded Plans, Inc. and Self Funded Plans, Inc. is not responsible for the contents, changes, and updates of any such linked site. Self Funded Plans, Inc. is not responsible for any form of transmission received from any of these linked sites. Self Funded Plans, Inc. is providing these links to users only as a convenience and the inclusion of any link does not imply endorsement by Self Funded Plans, Inc.

DISCLAIMERS
Each user specifically agrees that Self Funded Plans, Inc. shall not be responsible for unauthorized access to or alteration of your transmissions or data sent or received through the SFPI Online service. Each member specifically agrees that Self Funded Plans, Inc. is not responsible or liable for any threatening, defamatory, obscene, offensive, or illegal content or conduct of any other party or any infringement of another's rights. Each user also specifically agrees that Self Funded Plans, Inc. is not responsible for any content sent using or included in the SFPI Online service by any third party.

The information and services included in the SFPI Online service may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Self Funded Plans, Inc. may make improvements or changes to the SFPI Online service at any time.

Self Funded Plans, Inc. does not represent or warrant that the SFPI Online service will be uninterrupted or error free. Self Funded Plans, Inc. further does not represent or warrant that defects will be corrected or that the SFPI Online service or the server that makes it available are free of viruses or other harmful components. Self Funded Plans, Inc. doesn't warrant or represent that the use or the results of the use of the SFPI Online service or the materials made available will be correct, accurate, timely, or otherwise reliable.

In no event shall Self Funded Plans, Inc. and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the user or performance of the SFPI Online service or related web sites, with the delay or inability to use the SFPI Online service or related web sites, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the SFPI Online service, or otherwise arising out of the use of the SFPI Online service whether based on contract, tort, negligence, strict liability or otherwise, even if Self Funded Plans, Inc. or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the SFPI Online service, or with any of these terms and conditions, your sole and exclusive remedy is to discontinue using the SFPI Online service.

INDEMNIFICATION
Each user agrees to indemnify and hold Self Funded Plans, Inc. , its parents, subsidiaries, affiliates, officers, and employees harmless from any claim, demand, or damage, including reasonable attorney's fees, asserted by any third party due to or arising out of the user's conduct or usage of the SFPI Online service.

TERMINATION
Self Funded Plans, Inc. reserves the right to terminate access to any or all parts of the SFPI Online service at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever.

MODIFICATIONS
Self Funded Plans, Inc. reserves the right to change the terms, conditions, and policies regarding the use of the SFPI Online service at any time and to notify the user by posting an updated version of the terms and conditions on this web site. Each user is responsible for regularly reviewing the terms and conditions herein. Continued use of the SFPI Online service after any such changes constitutes consent by the user to the changes.

RIGHTS TO CONTENT
Each user acknowledges that all content presented in the SFPI Online service is protected by copyrights, trademarks, service marks, patents and all other proprietary rights and laws. Users may make copies of this content for personal, non-commercial use only, provided that the user keeps all copyright and other proprietary notices intact. Users may not modify, copy, reproduce, republish, upload, post, transmit, or distribute in any way content available through the SFPI Online service including code and software.

OVERALL
This agreement is governed by the laws of the state of Ohio and the United States of America. Use of the SFPI Online service is unauthorized in any jurisdiction that does not give effect to all provisions of the terms and conditions. Self Funded Plans, Inc. performance of this agreement is subject to existing laws and legal processes. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable, provision that most closely matches the intent of the original provision and the remainder of the agreement will remain in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Self Funded Plans, Inc. with respect to the SFPI Online Service.
